
Where the context admits: "We" includes ExtraVisitors,
ExtraVisitors.com or any party acting on ExtraVisitors's
implicit instructions. "You" includes the person
purchasing the services or any party acting on the clients's
instructions. In consideration of the mutual covenants herein,
the parties agree to the following, which shall apply during
the term of this agreement.
PLEASE NOTE: We will never ask for your
credit / debit card or bank details. Only WorldPay (our
payment provider) has your details for client security.
1.
Website submission
1.1 The services offered are the professional creation of
a submission profile on our inhouse systems that will then
run at least every 48 hours and submit to at least 95% of
all the worlds search engines.
1.2 Our systems will not over submit or breach any search
engine terms or rules.
1.3 We reserve the right to refuse any website(s) for entry
into our systems. Under such circumstances a full refund
will be paid.
1.4 We will not divulge how our systems work, how we obtain
the results we do or any further information on our inhouse
systems. The systems are solely owned by us and we do not
provide this information in order to protect our business
systems and business model.
1.5 The submission service we offer is not an optimization
service, only a submission service.
2.
Performance guarantees
2.1 Due to the timeframe involved with search engines and
/ or link directories updating their databases, performance
of a submission account will be taken from 6 months from
the original order.
2.2 At the 6 month review, if the website(s) are not listed
in at least 95% of the worlds search engines, and at least
9 of the 10 major search engines, we will refund double
the amount of all payments to us for the services that have
under performed.
2.3 The performance guarantee will not be valid if the service
is stopped before 6 months by the client. If the account
is reopened at a future time, the 6 months review time will
start from the latest application date of the order(s).
2.4 If an account is closed this voids our guarantees and
your website(s) will start to loose their listings in some
or all search engines. For continual listing the service
should be left to run without any periods of non submission,
lasting longer than 1 or 2 weeks.
2.5 The performance guarantees do not apply to websites
using frames from their given submission url as most search
engines will have problems indexing a website using frames.
Clients should contact us if using frames in order for us
to visit their website so we can provide feedback.
2.6 Our guarantees will become void if we are not the sole
provider submitting your website(s) to search engines and
link directories. Because there is a maximum amount of submissions
per search engine / link directory, clients that also submit
themselves, either manually or via software or another submission
company risk over submitting and getting banned. In such
circumstances our guarantee's will not apply.
2.7 For websites with adult content our 95% success guarantee
will only apply to those search engines and link directories
which accept adult content websites.
3.
White label reseller account
3.1 Resellers are required to start off with a bronze account
and may request to be upgraded at anytime after reaching
50% of the maximum that their package allows.
3.2 Resellers must sell the submission service for a minimum
of $5/£3 per month. There is no maximum limit that
resellers can charge, however the recommended price is between
$10/20 or £5/15 per month.
3.3 Resellers are not permitted to resell our reseller account.
Resellers found to be doing this will have their account
and submission accounts terminated.
3.4 Resellers must not give false information to customers
or potential customers
3.5 Resellers must act in a fair and professional business
manner with our staff and the general public.
3.6 Resellers are not permitted to send unsolicited email
(aka spam), including bulk posts to newsgroups and / or
forums, to promote their business. Resellers found to be
doing this will have their account and submission accounts
terminated.
3.7 If a reseller terminates their account that contain
live submission clients, we may be willing to purchase these
clients from you. Resellers should contact us prior to terminating
their account if they wish discuss a "buy back"
option with us.
3.8 A reseller account can only be held by one person /
company. Accounts that are found to be operated by 2 or
more people / businesses will have their account and submission
accounts terminated.
3.9 We guarantee to remain invisible to your clients at
all times and guarantee never to contact your clients unless
we both agree on a "buy back" deal (see 3.7).
3.10 In the unlikely even that we are unable to achieve
the guarantees on a website(s) where the client is a resellers
client, we will only refund the percentage paid by the reseller
for the 3 month period for that website(s).
3.11 We are not liable in any way for our resellers actions.
3.12 We may remove a reseller from our reseller scheme for
potentially damaging our business reputation. We will decide
what constitutes "potentially damaging" behavior.
4.
Payments
4.1 Online payments are made monthly for 1 months service
in advance
4.2 Clients and resellers may cancel the account at anytime
without reason and the account and billing will be stopped
within 3 working days of receiving a valid closure request.
A valid closure request is a request that contains enough
information for our staff to ensure that you are the rightful
owner / controlled of the account.
4.3 If payments are not received, we reserve the right to
remove your account(s) from our systems with 48 hours of
non payment. However, the details / profile on our systems
will not be deleted until 28 days after non payment. We
will notify you if your payment fails or if not received.
4.4 Payments are only accepted by cheque / check only in
$US or £UK with a minimum of 12 months payments.
4.5 Services paid for by cheque / check will not commence
until the funds have fully cleared.
4.6 Online payments are non refundable in all circumstances
apart from our "2. Performance guarantees".
4.7 You must either inform ourselves and / or our payment
provider, WorldPay if you loose or change your credit card
if you wish to continue the service.
4.7 Fraud, including forced refunds (considered fraud) will
result in legal action in all cases.
5
Law
5.1 This Agreement shall be governed by and construed in
accordance with English law and you hereby submit to the
non-exclusive jurisdiction of the English courts.
6.
Headings
6.1 Headings are included in this Agreement for convenience
only and shall not affect the construction or interpretation
of this Agreement.
7.
This agreement
7.1. By performing any transactions on this web site you
agree to these terms and conditions and also agree to make
any person(s) who use our services aware of our terms and
conditions.
7.2 We reserve to right to change any part of this agreement
at any time but will inform you via email no later than
48 hours after any changes.
